Explanatory Note
This Form 8-K/A is filed as an amendment (Amendment No. 1) to the Current Report on Form 8-K filed on June 11, 2019 (the Original Form 8-K) by CarGurus, Inc. (the Company), solely to correct errors on slides 85 and 90 of the Companys Investor Day presentation materials furnished as Exhibit 99.1 thereto (the Exhibit). As previously furnished, (i) slide 85 of the Exhibit reflected incorrect data in the chart captioned UK Paying Dealers and (ii) slide 90 of the Exhibit reflected an incorrect year-over-year growth rate in the chart captioned Significant Revenue Scale and Momentum, each of which has been corrected on Exhibit 99.1 to this Amendment No. 1. No other changes have been made to the Original Form 8-K.

On June 11, 2019, in connection with Investor Day (defined below), CarGurus, Inc. (the Company) will provide historical financial information by segment on its two primary revenue sources, marketplace subscription revenue and advertising and other revenue. The Companys two reportable segments are United States and International. The Company has historically only reported its total revenue within these two segments. In connection with Investor Day, however, the Company will provide data on each of its marketplace subscription revenue and advertising and other revenue within each of its United States and International segments for the historical periods indicated in the Investor Day presentation materials. The Investor Day presentation materials, furnished as Exhibit 99.1 to this Current Report on Form 8-K, are hereby incorporated by reference into this Item 2.02.
