The registrant’s amended and restated certificate of incorporation that became effective upon the closing of the registrant’s initial public offering contain provisions that eliminate, to the maximum extent permitted by the General Corporation Law of the State of Delaware, the personal liability of the registrant’s directors and executive officers for monetary damages for breach of their fiduciary duties as directors or officers.
