The registrants amended and restated certificate of incorporation that became effective upon the closing of the registrants initial public offering contain provisions that eliminate, to the maximum extent permitted by the General Corporation Law of the State of Delaware, the personal liability of the registrants directors and executive officers for monetary damages for breach of their fiduciary duties as directors or officers. The registrants amended and restated certificate of incorporation and amended and restated bylaws provide that the registrant must indemnify its directors and executive officers and may indemnify its employees and other agents to the fullest extent permitted by the General Corporation Law of the State of Delaware.
